1. Acceptance of these Terms
By accessing or using this website, you agree to these Terms of Use. If you do not agree, do not use the site. If you act for a business or another organization, you represent that you have authority to act on its behalf. Our Privacy Policy explains how we handle information collected through the site.
2. Using the website
You may use the site for lawful purposes, including learning about our services, requesting a booking audit and scheduling a call. Provide accurate information and submit business or other information only when you have authority to do so.
You must not misuse the site, impersonate another person, submit unlawful or infringing material, send spam, attempt unauthorized access, bypass security measures or interfere with the site or other users. Do not use the site to collect personal information about others without permission.
3. Free booking audits and calls
A free booking audit is an informational review of the website, Instagram profile or booking path you provide. It may include observations and suggested improvements based on the information available at the time. It is not a comprehensive assessment of your business, professional legal advice or a promise of results.
There is no charge or purchase obligation for the free audit. Requesting an audit or attending a strategy call does not require you to hire us and does not create a paid services agreement. Availability and delivery timing may depend on the information provided and our capacity. We do not guarantee that an audit or any suggestion will produce particular bookings, revenue, conversion rates or other outcomes.
4. Results, case studies and testimonials
Results and testimonials shown on this site are examples from specific clients, locations, campaigns and time periods. Individual results vary. Results depend on factors such as advertising spend, market conditions, offers, demand, business operations and execution. Past performance is not a guarantee of future results, and examples are not a representation that you will achieve the same outcome. Illustrative booking flows and demonstrations are not actual client screenshots unless expressly identified as such.
5. Services under a separate agreement
Paid advertising, technology, follow-up and other services are provided under a separate written agreement. That agreement establishes the scope, fees, responsibilities and other terms for those services. If these website Terms conflict with a separate written services agreement, the separate agreement governs the services and the conflicting provision. Website descriptions alone do not create a service commitment or guarantee.
6. SMS and text messaging
If you provide your mobile number and agree to receive messages, AdCloud Agency may text you about your audit or call, including responses, reminders, scheduling and related follow-up. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out, or HELP for help. Consent is not a condition of purchase.
You may receive a confirmation after opting out. We will stop further messages from that messaging program unless you opt in again. Mobile carriers and messaging networks may delay or fail to deliver messages; do not rely on texts for urgent or emergency communications. You are responsible for providing a number you are authorized to use and letting us know if it changes.
Our Privacy Policy, including its SMS section, explains how we handle mobile information and consent. For help or questions, email marcus@slaterdigitalgroup.com.
7. Intellectual property
Unless otherwise stated, the site’s text, designs, graphics, code and other materials are owned by Slater Digital Group, LLC DBA AdCloud Agency or its licensors and are protected by intellectual property laws. You may view the site and keep a copy of an audit supplied to you for your own business’s internal use. You may not reproduce, sell, distribute or exploit site materials without permission except as allowed by law. Third-party names, logos and trademarks belong to their respective owners; their appearance does not by itself imply endorsement.
8. Third-party links and tools
The site may link to or use third-party tools, including HubSpot scheduling, analytics and messaging services. We do not control their availability, content or operations. Your use of a third-party website or tool may also be subject to that provider’s terms and privacy policy. Links are provided for convenience and do not constitute an endorsement of all third-party content.
9. Disclaimer of warranties
To the fullest extent permitted by law, this website and its informational materials, including free audits, are provided “as is” and “as available,” without warranties of any kind, express or implied. This includes implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, secure, error-free, complete or suitable for a particular outcome. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
10. Limitation of liability
To the fullest extent permitted by law, AdCloud Agency and its owners, employees and representatives are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, revenue, data or business opportunities, arising from your use of or inability to use this website, its informational materials or a free audit, even if advised of the possibility of those damages. These limitations do not exclude or restrict liability that cannot lawfully be limited. Liability relating to paid services is governed by the applicable separate written agreement.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless AdCloud Agency and its owners, employees and representatives from third-party claims, liabilities and reasonable expenses, including reasonable legal fees, arising from your unlawful use of this site, your violation of these Terms or your infringement of another person’s rights. This obligation does not apply to claims caused by our own negligence or willful misconduct or where prohibited by law.
12. Governing law and venue
These Terms are governed by the laws of Tennessee, without applying conflict-of-law rules. Subject to any non-waivable legal requirements, disputes arising from these Terms or use of this website must be brought in a court of competent jurisdiction in Sumner County, Tennessee. You consent to that court’s jurisdiction and venue. Nothing in these Terms removes protections or rights that applicable law does not allow you to waive.
13. Changes to these Terms
We may update these Terms by posting revised Terms on this page and changing the “Last updated” date. Changes apply prospectively. Where legally required, we will provide additional notice or obtain agreement before a material change takes effect. Your continued use of the site after updated Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree to revised Terms, stop using the site.
